SUNLAND VILLAGE EAST DOG CLUB (Village Rovers)

BY-LAWS

June 24, 2022


ARTICLE I – GENERAL


1.1 Name of Club

The name of the club shall be “Village Rovers” (hereinafter referred to as the Club) www.villagerovers.com.


1.2 Purpose of the Club

The purpose of the Club is to enhance the enjoyment of dog ownership by SVE residents by engaging in shared human-canine activities; to promote responsible dog ownership by its members; to foster and improve the relationship between dog owners and non-dog owners; and to create an official SVE dog park.


1.3 These Bylaws will comply with the Association’s Governing Documents (Documents) and the Policy Manual for Chartered Clubs (Policy). In the event of a conflict between these Club Bylaws and the Documents or Policy, the Documents and Policy will prevail.


ARTICLE II – MEMBERSHIP

2.1 Membership shall be open to any SVE Association member in good standing without discrimination as to race, religion, sex or sexual orientation, or national heritage.

2.2 There shall be no precondition for membership, nor will members be required to join affiliated national, state or regional organizations.

2.3 Personal information of members recorded by the Club shall not be used for purposes other than authorized membership functions and communications within the Club.

2.4 No member of the Club shall be personally liable for the debts, liabilities or obligations of the Club.

2.5 Club members shall conform to requirements of the SVE Homeowners Association (hereinafter referred to as HOA) Articles of Incorporation; Amended and Restated Declaration of Restrictions, Covenants, Conditions and Reservations (hereinafter RRCC&Rs); and By-Laws.

2.6 Dues of $20 per household shall be payable to the Club each membership year of Jan. 1 to Jan. 1.

2.7 The Club may adjust the dues as needed by a show of hands by a majority of the membership at the Annual Meeting.

2.8 Termination of membership. Members may resign from the Club upon written or verbal notice to the Club secretary. There shall be no refund of dues paid.

2.9 A membership will be considered terminated when a member’s dues remain unpaid at sixty days (60) after the first day of the membership year.

2.10 A membership will be considered terminated when the Club Board members determine that a member consistently fails to conform to SVE HOA Articles of Incorporation, RCC&Rs, and Village Rovers By-Laws.


ARTICLE III – OFFICERS


3.1 Executive Board Members of the Club shall be: President, Vice President, Secretary and Treasurer

3.2 All officers shall be elected by a vote of the general membership and shall serve without compensation.

3.3 Club members in good standing shall be considered qualified to be officers of the Club. The term of office of the President, Vice President, Secretary and Treasurer shall be two years. Officers shall hold office until their term expires, they resign or they are removed, found to be disqualified to serve, or are unable to serve. The first year only, the offices of Vice President and Secretary will serve a term of (1) one year. This is so officer’s terms will be staggered and the whole Board will not be new every two (2) years.

The President shall be the chief executive officer of the Club and shall supervise the affairs of the Club, perform duties incident to the President’s office, shall preside at meetings, and shall be an ex-officio member of committees.

The Vice President, in the absence of the President, or in the event of the President’s inability to act, shall have the powers and the restrictions of the President.

The Secretary shall keep original and current versions of the Club By-Laws, keep minutes at meetings, give notices of meetings to the membership, shall be the custodian of the records, maintain a roster of membership and submit articles to the Outlook newspaper, and shall perform other duties as prescribed by the President.

The Treasurer shall have custody of and deposit funds in the name of the Club in such bank as directed by Club officers, shall receive monies due and payable to the Club, produce quarterly reports, and shall disburse funds of the Club as directed by the Club Officers.

The Treasurer shall also expend funds only when documented by receipts; expend no funds or receive funds when Members may dispose of, transfer, sell, or encumber Club assets without approval of the club Board of Directors; keep and maintain adequate and correct accounts of the Club’s properties and financial transactions, including accounts of assets, liabilities disbursements, gains and losses; incur no debt in excess of the amount in the Club’s treasury; allow an officer or member to view the financial records prepared by the Treasurer at a time and place when and where acceptable to the Treasurer and the Officer or Member; prepare or cause to be prepared, financial statements that are acceptable by the Officers for presentation at general and annual meetings; prepare, or cause to be prepared, a financial statement aligned with the fiscal year of the SVE HOA to the SVE HOA Management Office; and perform duties incident to the office of Treasurer and other duties as may be required by law or by these By-Laws, or which may be assigned to him/her from time to time by the Officers.


3.4 Nomination and election procedures

The President shall appoint a Nominating Committee and Chairperson from Club members who shall identify and recommend potential officers for election to the Members.

Officers shall be elected by a voice or show of hands by a majority of the membership at an Annual Meeting or a Special Meeting called for the purpose of electing officers.

3.5 Officers may be removed from office when sufficient cause exists as determined by a majority of the members at a Special Meeting called for the purpose of electing officers. Officers who may be removed, shall be allowed to show cause why they should not be removed.


ARTICLE IV – MEETINGS

4.1 Dates, time and place of Annual, Club Board and Special Meetings shall be announced by two of the following methods: during annual or general meetings, by telephone, by emails, or by posts on the SVE HOA website and on www.VillageRovers.com. Announcements shall state the purpose of each meeting and shall be at least five (5) days prior to the date of the meeting.

4.2 Annual, Board and General Meetings shall be conducted under Robert’s Rules and Parliamentary Procedures.

ARTICLE V – GRIEVANCE PROCEDURES

See section 2.10 under membership, and section 3.5 under officers.

ARTICLE VI – FINANCIAL CONTROLS AND PROCEDURES

6.1 Financial procedures for collection, deposit and expenditure of funds will comply with the procedures outlined in the SVE Club Policy.


ARTICLE VII – AMENDMENTS TO THE BYLAWS

7.1 Bylaw amendments require membership vote at a meeting duly called for such purpose. Bylaws may be amended by a two-thirds vote of Club members present at a meeting, provided that notice of the proposed amendments and meeting is announced in accordance with Section IV (meetings).


ARTICLE VIII – CLUB DISSOLUTION

8.1 Upon Club dissolution, all Club assets (monies, inventory, and equipment) will remain assets of the Association.
